Contracts are the foundation of our society's commercial system, allowing two or more strangers to conduct business with one another with trust and confidence that the obligations of the parties will be well-defined and enforceable by government.  Effective contracts require strict attention to detail and extensive cooperation between lawyer and client to ensure the client's interests are protected and the intent of the parties are embodied in the final document.

Drafting, Review, and Negotiation

Contracts arise in a wide variety of situations in the commercial context.  While not every contract needs to be in writing in order to be effective, unwritten contracts require costly litigation to enforce and may still not be enforced as the parties originally intended.  In some situations, written contracts are required for the agreement to be enforced at all.  It is almost always in a contracting party's interest to clearly and concisely identify the exact terms of the parties' agreement in writing in as much detail as reasonably possible.  A well-drafted contract is tailored specifically to your situation, removes uncertainty about each parties' respective obligations, addresses possible contingencies, and details how the parties will resolve disputes that may arise.
